This English version is a convenience translation of our German General Terms and Conditions (timingdevices.eu/agb). In the event of any discrepancy, the German version shall prevail.
1. Scope of Application
All our sales, deliveries and project engineering services are subject in full to these Terms and Conditions, unless modified or supplemented by written agreement.
2. Quotations
Our quotations are limited in time, either to two months or as specified in the quotation itself.
Our quotations are confidential and may only be disclosed to persons who are actually involved in processing them.
We retain all ownership rights and copyrights in all drawings, drafts, circuit diagrams and cost estimates. Upon our request, these documents shall be returned to us if no corresponding order is placed.
3. Prices and Terms of Payment
Unless otherwise agreed, prices are ex works, including packaging. Value-added tax is not included.
Payments shall be made free of charges to our paying office.
Unless special payment terms have been agreed, our invoices are payable within 30 days net.
4. Packaging, Shipping and Transport Costs
In the absence of special agreements, packaging and shipping shall be at our discretion.
5. Delivery Periods
We will always endeavour to meet the delivery periods we have stated and carefully calculated, even in the event of unforeseeable difficulties; however, we cannot provide any legal guarantee in this respect. This applies in particular to cases of force majeure and strikes.
Compliance with delivery periods requires that the customer fulfils their obligations, such as the timely provision of specifications.
6. Force Majeure
Force majeure shall also include serious circumstances occurring through no fault of our own, such as the complete or partial shutdown of supplying factories, mobilisation, outbreak of war, civil unrest, fire, import or export bans, or a substantial increase in import duties.
7. Warranty
Our warranty covers, from the date of delivery, all defects arising within the statutory warranty period that are demonstrably caused by material defects or faulty manufacture.
Our warranty is limited, at our option, to the replacement or repair of the defective products or components, or to reimbursement of the invoice value. Any further warranty, in particular for consequential damages, is excluded.
We accept no liability for modifications or repairs not carried out by our own or our designated specialists.
8. Complaints (Notice of Defects)
In the case of apparent defects, the customer or buyer must notify us immediately upon receipt of the delivery. If hidden defects only become apparent later, notice must be given immediately upon discovery and at the latest before expiry of the warranty period. If no such notice is given, the delivery shall be deemed accepted.
Shipments with visible transport damage must be accepted subject to reservation and reported to the carrier without delay for the purpose of recording the facts.
9. Illustrations, Weights and Dimension Tables
In project business, we reserve the right to make deviations, provided they prove expedient and the customer has been consulted in advance.
10. Retention of Title
We retain title to all products sold until receipt of the full purchase price and are entitled to arrange for a corresponding entry in the retention-of-title register.
In addition, the supplementary clause "Extended Retention of Title to the General Conditions of Supply for Products and Services of the Electrical Industry" ("Erweiterter Eigentumsvorbehalt zur allgemeinen Lieferbedingungen für Erzeugnisse und Leistungen der Elektroindustrie") of ZVEI e. V., Stresemannallee 19, D-60596 Frankfurt am Main, Germany, shall apply.
11. Severability
Should individual provisions be legally invalid, the contract shall remain binding in its remaining parts.
12. Place of Performance and Jurisdiction
The place of performance and jurisdiction is Mannheim, Germany. All legal relationships shall be governed exclusively by the laws of the Federal Republic of Germany.
Our company always endeavours to resolve disputes amicably and by mutual agreement.
13. Confidentiality
Our business partners undertake not to disclose data arising in the course of the business relationship to unauthorised third parties and to protect such data against unauthorised access and misuse.
